Terms and Conditions

Welcome, and thank you for your interest in Scout, a product of Rootspace LLC ("Scout," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your use of the Service (as defined below).

By using the Service, or by clicking "I agree," you accept these Terms and agree to be bound by them. You may not use the Service if you do not agree to these Terms. We may change these Terms at any time, and your continued use of the Service after the effective date of any change means you accept the change. The "Last updated" date above indicates when these Terms were last revised.

These Terms include a binding arbitration provision and a class action waiver in the "Dispute resolution" section, which affect how disputes are resolved. Please read them carefully.

1. Use of the Service

Service

The "Service" includes Scout's job-search tools, which help you track applications, prepare for interviews, manage outreach, and receive helpful nudges, and which may be updated or modified from time to time, including through websites and mobile or desktop applications, along with all intellectual property contained in them.

License

Subject to your compliance with these Terms, we grant you a non-exclusive, revocable, non-transferable license to access and use the Service for your personal purposes. The Service is for your personal use and not for resale.

Equipment

You will use your own computer or mobile device to access the Service, and you are responsible for the costs of any internet or cellular service you use in connection with it.

Privacy

Our handling of your information is described in our Privacy Policy. By accepting these Terms, you acknowledge your agreement with the Privacy Policy.

2. Registration, eligibility, and acceptable use

You must be at least 18 years old to use the Service, and you agree to provide current, complete, and accurate registration information and to keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.

You agree to use the Service only for lawful purposes. You may not:

  • damage, disable, overburden, or impair the Service, or interfere with anyone else's use of it;
  • attempt to gain unauthorized access to the Service, other accounts, or our systems or networks;
  • copy, modify, create derivative works from, reverse engineer, or distribute the Service except as expressly permitted;
  • create accounts by automated means or under false pretenses, or use bots, scrapers, or similar tools to access the Service;
  • transmit unlawful, fraudulent, harassing, defamatory, or otherwise objectionable content, or any malicious code; or
  • use the Service to build a competing product.

3. Artificial intelligence and automated features

The Service includes features powered by artificial intelligence and machine learning ("AI Features"), such as email parsing, content and outreach generation, application suggestions, and interview preparation and analysis.

When you use AI Features, your content is processed by our AI systems and by third-party AI providers, such as Anthropic and OpenAI, to generate outputs. We do not use your identifiable career documents to train general-purpose AI models used for other customers, though we may use aggregated, de-identified usage patterns to improve the Service.

AI-generated content is provided for informational and assistive purposes only. You acknowledge that AI outputs may contain errors or content that is not suitable for your situation, that you are solely responsible for reviewing and verifying any AI-generated content before relying on it, and that Scout does not guarantee any employment outcome or that AI outputs are accurate, complete, or free from bias. AI outputs are not professional career, legal, or financial advice.

4. Your content and account

Your content

You retain ownership of all content you create or upload to the Service ("Your Content"), including resumes, job descriptions, notes, and contacts. You grant us a limited, worldwide, non-exclusive, royalty-free license to use Your Content solely as necessary to provide, maintain, and improve the Service for you. This license ends when you delete Your Content or your account.

Data export and account deletion

You may delete your account at any time in your account settings. When you delete your account, your associated content will be deleted as described in our Privacy Policy. We recommend exporting any content you wish to keep before deleting your account, as deleted data cannot be recovered. Some information may be retained as required by law.

5. Scout text messaging program

  • Program name: Scout.
  • Program description: Scout sends transactional text notifications confirming when a job application email you forward has been received and logged to your application tracker.
  • How to opt in: You opt in within the Scout application after creating an account. In account settings, you enter your mobile phone number and check a box agreeing to receive transactional text notifications from Scout. You then verify the number with a one-time code before any further messages are sent. Consent is collected only through this in-app flow, and you are not added by any other method.
  • Message frequency: Message frequency is up to once daily on weekdays.
  • Cost: Message and data rates may apply.
  • Opt out: Reply STOP at any time to stop receiving texts. After you send STOP, we will send one confirmation message and will not send further texts unless you opt in again.
  • Help: Reply HELP for assistance, or contact us at support@scout.careers.
  • Carriers: Carriers are not liable for delayed or undelivered messages.

No mobile information is shared with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy for details on how we handle your information.

6. Payment and subscriptions

Some features may require a paid subscription. Current pricing is available on our pricing page. Paid subscriptions automatically renew at the end of each billing period at the then-current rate unless you cancel before the renewal date, and by subscribing you authorize us to charge your payment method on a recurring basis until you cancel.

You may cancel at any time in your account settings; cancellation takes effect at the end of your current billing period, and you retain access until then. Payments are processed by Stripe, Inc., and your use of Stripe's services is subject to Stripe's terms and privacy policy. We may change subscription prices with advance notice before your next renewal.

7. Third-party services

The Service may let you use third-party products, integrations, or services ("Third-Party Services"). Any use of Third-Party Services and any exchange of data with them is solely between you and the applicable provider. We do not warrant or provide support for Third-Party Services and are not responsible for them, and we do not guarantee their continued availability.

8. Ownership

The Service, including all content, templates, and intellectual property rights in it ("Scout IP"), is owned by Rootspace LLC and its licensors. No ownership rights are transferred to you except for the limited license granted in these Terms. You may not use our name, logo, or marks in a way likely to cause confusion. If you give us feedback or suggestions, you assign to us all rights in that feedback, and we may use it without restriction or attribution. We may collect and use aggregated, de-identified usage data for any purpose, including improving the Service.

9. Claims of copyright infringement

We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act (DMCA). If you believe in good faith that material on the Service infringes your copyright, send a notice with the information required by the DMCA to support@scout.careers, including identification of the work and the allegedly infringing material, your contact information, a good-faith statement, and a statement under penalty of perjury that you are authorized to act on behalf of the copyright owner.

10. Term and termination

These Terms apply from the time you first use the Service and continue while you use it. We may restrict, suspend, or terminate your access to the Service at any time if you breach these Terms or for any other lawful reason. Provisions that by their nature should survive termination, including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution, will survive.

11. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will meet your requirements, be uninterrupted, or be error-free, and we do not guarantee any particular job-search outcome. Your use of the Service is at your own risk. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

12. Indemnification

You will defend, indemnify, and hold harmless Rootspace LLC and its affiliates and their respective directors, officers, employees, and agents from any third-party claim, and all related damages, costs, and reasonable attorneys' fees, arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right.

13. Limitation of liability

To the maximum extent permitted by law, neither Scout nor Rootspace LLC will be liable for any indirect, incidental, special, consequential, or exemplary damages, including lost profits, loss of business, or loss of data, arising out of or related to these Terms or the Service, even if advised of the possibility of such damages. Our total liability arising out of or related to these Terms will not exceed the greater of the amount you paid us in the six months before the claim or one hundred US dollars ($100).

14. Dispute resolution and arbitration

To resolve disputes efficiently, you and Rootspace LLC agree that any dispute arising out of or related to these Terms or your use of the Service will be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual claim in small claims court or seek injunctive relief for intellectual property infringement. Arbitration uses a neutral arbitrator instead of a judge or jury, and an arbitrator can award the same relief a court could.

You and Rootspace LLC each waive the right to a jury trial and the right to participate in a class or representative action. Arbitration will be administered by the American Arbitration Association under its applicable rules. Before starting arbitration, a party must send a written notice of the dispute to the other and allow 45 days to resolve it informally.

Opt out. Arbitration is not mandatory. You may opt out of this section by emailing support@scout.careers within 30 days of first accepting these Terms, stating your full name and that you decline this agreement to arbitrate.

15. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Subject to the dispute resolution section above, any claims will be brought exclusively in the state or federal courts located in California, and the parties consent to the jurisdiction of those courts.

16. Changes to these Terms

We may update these Terms from time to time. When we make changes, we will update the "Last updated" date above, and your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

17. Miscellaneous

These Terms are the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will stay in effect. Our failure to enforce any right is not a waiver of it. You may not assign these Terms without our consent, and we may assign them freely. We will not be liable for any delay or failure to perform due to causes beyond our reasonable control.
